1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Magniva’s website, platform, AI receptionist services, call handling systems, and related communication tools (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Who These Services Are For

Magniva is intended for businesses and authorized representatives, primarily bail bond companies operating in the United States. You represent that you have the legal authority to use the Services on behalf of your business and to receive and process caller information.

3. What Magniva Does (and Does Not Do)

Magniva provides automated call answering, caller information capture, message delivery, and related reporting features. Magniva is not a bail bond agency, law firm, or legal representative.

Magniva does not provide legal advice, does not determine bond eligibility, does not approve releases, does not negotiate bond terms, and does not guarantee outcomes. All case decisions remain solely your responsibility.

4. Caller Interactions and Data Accuracy

The AI receptionist is designed to collect information and relay messages. Caller-provided information may be incomplete or inaccurate. You are responsible for verifying caller identity and details before taking any action.

5. Call Recording, Transcription, and Consent

Depending on configuration, calls may be recorded and/or transcribed to support message delivery, quality assurance, and service improvement. Recording and consent laws vary by state. You are solely responsible for ensuring that your use of recording/transcription features complies with all applicable federal and state laws, including providing any required disclosures and obtaining consent where required.

6. SMS, Automated Messaging, and TCPA Compliance

If SMS or automated messaging features are enabled, you agree to use them only in compliance with applicable law, including the Telephone Consumer Protection Act (TCPA), CTIA guidance, and carrier policies. You are responsible for obtaining any required consent to send texts and for honoring opt-out requests. Magniva does not send unsolicited marketing messages on your behalf unless you configure it to do so and you have the legal right to do so.

7. Acceptable Use

You agree not to use the Services to:

  • Provide legal advice or impersonate a lawyer, officer, court official, or government agency
  • Harass, threaten, or coerce callers
  • Send spam, unsolicited marketing, or unlawful robocalls/texts
  • Collect sensitive information you are not legally permitted to collect or store
  • Violate any federal, state, or local laws or regulations
  • Attempt to disrupt, reverse engineer, or abuse the platform

8. Your Responsibilities

You are responsible for:

  • Configuring call flows, business rules, and message routing correctly
  • Reviewing messages, transcripts, and logs for accuracy
  • Maintaining the confidentiality of your account access
  • Complying with all licensing and operational requirements in your jurisdiction
  • Using caller information lawfully and securely

9. Service Availability and Changes

We aim to provide reliable service, but uninterrupted availability is not guaranteed. Outages may occur due to maintenance, telephony carrier issues, network failures, or third-party dependencies. We may modify or update the Services over time, including adding, removing, or changing features.

10. Billing, Fees, and Payments

Subscription fees and usage-based charges (if applicable) are presented at the time of purchase or in your service agreement. You agree to pay all applicable fees and taxes. Failure to pay may result in suspension or termination of Services.

11. Cancellation and Termination

You may cancel according to your plan terms. We may suspend or terminate access if we reasonably believe you have violated these Terms, misused the Services, or created legal or operational risk. Upon termination, your access to the Services may end immediately.

12. Data and Retention

Call logs, transcripts, recordings, and related data may be retained based on system settings, customer configuration, and legal obligations. We do not guarantee indefinite storage. You are responsible for exporting any records you need to retain.

13. Third-Party Providers

The Services may rely on third-party providers (such as telephony carriers, SMS providers, and cloud infrastructure). We are not responsible for outages, delivery failures, or delays caused by third parties, including carrier filtering or blocking.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNIVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNIVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, MISSED CALLS, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

16. Indemnification

You agree to indemnify and hold harmless Magniva from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your communications practices, your failure to obtain required consents, your violation of law, or your breach of these Terms.

17. Updates to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by applicable laws in the United States, without regard to conflict-of-law principles.
