Magniva Enterprises Corp. (“Magniva,” “us,” “we,” or “our”) provides services through its website (Magniva.ai) and related platforms (“the Site”). These Terms of Use govern your use of the Site and services provided by Magniva.
By accessing or using our services, you agree to these Terms of Use. If you disagree with these terms, please cease using our Site immediately.
These Terms may change periodically without notice.
It is your responsibility to review these Terms regularly.
Continued use of our Site after modifications indicates your acceptance of the new terms.
Material changes affecting your rights or obligations will become effective upon either your continued use after notification or 30 days following their posting.
Overview of Services
Magniva provides subscription-based virtual assistant services tailored to North American businesses, including but not limited to administrative tasks, scheduling, and operational support.
Your service plan includes a weekly hour limit. Unused weekly hours do not roll over into subsequent weeks.
Services provided are non-transferable. Accounts cannot be transferred or resold. However, you may purchase additional plans as gifts for third parties.
Pricing & Payment Terms
Magniva reserves the right to adjust subscription pricing with appropriate notification after your initial contracted period. Advertised prices may exclude additional fees for specialized or customized services outside standard virtual assistant capabilities.
If your payment method is declined, you have 48 hours to resolve the issue. Failure to do so may result in suspension or termination of your services until resolved.
Any agreement or attempt to engage a Magniva assistant directly for payment outside Magniva’s platform constitutes a material breach, potentially leading to service termination without refund.
Subscription Term
Magniva plans operate with an initial 90-day minimum commitment, transitioning to a month-to-month subscription thereafter. The first billing occurs upon completion of your initial free trial period, with subsequent charges occurring monthly.
To terminate service, you must provide Magniva with at least 30 days’ written notice via email.
Requests & Tasks
All virtual assistant tasks must be submitted via email, phone, Slack, or other authorized communication methods provided by Magniva. Clients may submit multiple requests simultaneously. Each client is assigned a dedicated virtual assistant but may request an assistant change at no additional charge. Assistant reassignment typically occurs within 1-2 weeks.
Magniva reserves the right to decline tasks deemed illegal, unethical, abusive, or outside our capabilities.
Ownership & Confidentiality of Work Product
Magniva grants you a non-exclusive, royalty-free, perpetual license to use original materials created by your virtual assistant (“Work Product”) for personal and commercial purposes.
You retain exclusive ownership of your confidential information and intellectual property. Such confidential information and intellectual property will remain confidential and will not be shared or disclosed without your consent unless legally compelled.
Your “confidential information” includes personal data such as names, credit card details, and proprietary business information. Information publicly available, obtained independently, or legally required to be disclosed is excluded.
Guarantee & Limitation of Liability
Magniva provides services “as is” without any guarantees or warranties. While we strive for excellence, Magniva cannot be held legally responsible for any inaccuracies or unintended results arising from task completion or information provided.
Termination of Service
Magniva reserves the right to terminate client services for any reason, including but not limited to:Repeatedly requesting tasks outside the agreed-upon service scope.Engaging in abusive behavior toward assistants or Magniva staff.Requesting tasks that are illegal or unethical.
Upon termination initiated by Magniva, a prorated refund for the unused service period will be provided at the standard monthly rate.
Non-Solicitation Agreement
You acknowledge Magniva’s significant investment in recruiting and training virtual assistants. During your subscription and for 24 months following termination, you agree not to solicit, directly or indirectly, any Magniva assistant assigned to you (within six months preceding termination) or their referrals. Breach of this provision will result in liquidated damages equal to two years of your most recent monthly subscription rate.
Data Rights & Privacy Protection
Magniva respects your privacy and adheres strictly to applicable data protection laws.Consent: You can provide or withdraw consent regarding your personal data at any time.
Data Portability: You have the right to request and receive an electronic report of your personal data stored by Magniva.
Privacy by Design: Magniva proactively integrates privacy protections into its operational processes and continuously adapts to ensure compliance and protection of client data.
You may request complete deletion of your personal data upon termination of your relationship with Magniva.
